This Memorandum of Understanding (hereinafter "the Agreement") is made by and between the World Economic Forum (hereinafter "the Forum") and the Ministry of Foreign Affairs of the State of Qatar (hereinafter "MOFA/Qatar")The Forum is an independent international organization committed to improving the state of the world. Incorporated as a Foundation in 1971, and based in Geneva, Switzerland, the World Economic Forum is impartial and not-for-profit; it is tied to no political, partisan or national interests. (www.weforum.org )The World Economic Forum with the Government of Qatar as lead partner, and in partnership with Governments of Switzerland and Singapore, have launched the Global Redesign Initiative (hereinafter "the Initiative") , which is described in the Annex of this Agreement. The Annex is an integral part of the Agreement.1. THE PRINCIPLES OF COOPERATIONThe Forum and MOFA/Qatar have agreed on the following principles of cooperation:1.1 MOFA/Qatar will designate a senior official to liaise with, and provide input to, the Forum's project team during the course of the Initiative's development and execution.1.2 MOFA/Qatar will host and sponsor an experts hearing in 2009 in Doha to provide input into the Initiative. The Forum will work together with MOFA/Qatar to define the scope and specific topics of this hearing. MOFA/Qatar will assume travel and accommodation costs of the invited experts if needed.1.3 MOFA/Qatar and the Forum will work closely together to organize a Summit at the highest possible level on the Global Redesign Initiative in Doha for Spring 2010 to officially and publicly announce the proposals and recommendations. It is the intention of both parties to give the Summit the highest political and public visibility in a joint attempt to drive the international will required to undertake the necessary improvements in global cooperation. A specific Memorandum of Understanding for this Summit will be signed between MOFA/Qatar and the Forum before 31st August. MOFA/Qatar already agrees now to sponsor the convening costs for this high-level meeting.1.4 MOFA/Qatar will participate within the framework of the Forum's general policies at the Annual Meeting 2010 in Davos and will use its presence in cooperation with the Forum to invite delegates to the 2010 Global Redesign Summit in Doha on the Global Redesign Initiative.1.5 The Forum commits to providing all the necessary resources required to ensure the successful execution of this Initiative. The Forum's total staff of 360 people will be involved in a substantial way. MOFA/Qatar supports the efforts of the Forum during the period of 2009 with the amount of CHF 4 million, which is payable within 30 days of the execution of this Agreement, or in 4 installments at dates specified by MOFA/Qatar, but no later than 31st of December 2009. The two parties are committed to continue cooperation in 2010 in order to ensure the success and necessary follow-up beyond the Summit. The terms for this cooperation will be fixed in due course within the framework of this MOU, but no later than end of February 2010.1.6 MOFA/Qatar and the Forum agree to ensure the highest level of publicity for the Initiative. For this purpose, they will not only rely on their own media teams, but may also engage a specific expert team or a PR company. The costs for this effort will be shared between the two parties. The MOFA/Qatar will coordinate all their communication efforts as far as the Global Redesign initiative and the Summit is concerned.1.7 To ensure global political integration, the Forum may also, in cooperation with MOFA/Qatar, nominate a prominent political personality to act as the intellectual Steward and Ambassador for this Initiative. The cost for this will be shared between the two parties.2. DURATIONThis Agreement will remain in effect for two years, from 01 January 2009 through 31 December 2010.3. MISCELLANEOUS PROVISIONS3.1 Confidentiality. Each party will treat the conditions of this Agreement as confidential and will not disclose the information contained therein to any outside party without the prior written consent of the other party. The Government may in no case disclose any content, information, identities, or intellectual property of the Forum, or of its members or clients, that is disclosed to MOFA/Qatar under the framework of this Agreement.3.2 project Management. MOFA/Qatar acknowledges the Forum's sole ownership of all intellectual property in relationship to the Global Redesign Initiative and the summit and authority in managing the Global Redesign Initiative. The government of Qatar has the nonexclusive perpetual right to use the intellectual property.3.3 Revisions to the Agreement. Any revisions to this Agreement will be done by mutual consent of both parties. If one of the parties wishes to withdraw, written notice must be provided thirty (30) days in advance. In this case, there are no the forum further obligations from either side and the Forum maintains all rights related to the initiative. If MOFA/Qatar withdraws, it has the right to request the repayment of any financial support already made after deducting the all expenses made by the Forum to date of the withdrawal. If the Forum withdraws, it will pay back all financial support already received.3.4 Notice.
